UpcharHub Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and UpcharHub Pvt Ltd ("UpcharHub", "we", "us"), the company that provides the UpcharHub clinic-management and electronic medical-record software and website (the "Service"). By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is intended for registered medical practitioners and healthcare providers in India, and the staff they authorise, for use in running a clinic, nursing home or practice. It is not intended for use by patients directly. By using the Service you confirm that you are a qualified, currently registered practitioner (or are authorised by one), that you are at least 18 years old, and that you are legally permitted to practise and to process the records you enter.

2. The Service is software, not medical care

UpcharHub is a tool that helps you record, organise and communicate clinical and administrative information. UpcharHub does not practise medicine, does not provide medical advice, and does not make any clinical decision. Every diagnosis, treatment, prescription, referral and record is yours, made in the exercise of your own professional judgement.

Some features are assistive — for example voice dictation, medicine and complaint matching, prescription drafting and the Visit Assistant. Anything these features produce is a suggestion that you must read and verify before you rely on it. These features are not a medical device, are not a second opinion, and are not a substitute for your clinical judgement or for checking a drug, dose, interaction or record yourself. You remain solely responsible for what you prescribe, record and act upon.

3. Your account

You must give accurate information when you sign up, including a true registration certificate when we ask you to verify your credentials. Submitting a forged, borrowed or misleading certificate is a breach of these Terms and may be unlawful. You are responsible for keeping your login secure and for everything done under your account, including by staff you add. Tell us at contact@upcharhub.in if you believe your account has been used without your permission.

4. Patient data and privacy

You decide what patient information you put into the Service, and you are responsible for having the consent and the legal right to collect, store and process it. We process that information on your behalf, as described in our Privacy Policy, which forms part of these Terms. Patient data is stored in India. You must not upload another person's or clinic's records without authority, and you must handle your patients' information in line with the law and your professional obligations.

6. Plans, fees and billing

Some features are free and others require a paid subscription. The plans and prices are those shown to you when you subscribe and on our website. Applicable taxes, including GST, are charged in addition to the listed price. Current promotional offers, including any free allowance for early users, are described at signup and may be changed or withdrawn for new users at our discretion; where we have told a specific user their account is free, we will honour that for that account as stated.

When paid subscriptions begin, a subscription will be billed in advance for each period and will renew automatically until you cancel. Payment will be collected through our payment processor, and by subscribing you will authorise the recurring charge to the payment method you set up. You will be able to cancel at any time; your access continues until the end of the period you have already paid for, and does not renew after that. Refunds are governed by our Refund Policy, including the 30-day money-back guarantee described there. If a payment fails, we may pause paid features until it is resolved.

7. Third-party services

The Service works with third parties — for example WhatsApp / Meta for messaging, a payment processor for payments, and AI providers for assistive features. Your use of those parts is also subject to the third party's own terms, and we are not responsible for their services.

8. Our rights in the Service

We own the UpcharHub software, design, brand and content, and we grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in force. You keep ownership of the clinical content and patient records you enter. You grant us only the permission we need to host, process, back up and display that content so that we can provide the Service to you.

9. Availability and changes

We work to keep the Service available and improving, and we may add, change or remove features. The Service is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, or fit for a particular purpose. Keep your own records of anything you cannot afford to lose; a prescription or document you need is your responsibility to retain.

10. Limitation of liability

Nothing in these Terms limits any liability that cannot be limited under law. Subject to that, and because clinical responsibility rests with you, UpcharHub is not liable for any clinical decision, outcome, prescription or record, nor for any indirect or consequential loss. Our total liability to you for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose.

11. Indemnity

You agree to indemnify UpcharHub against claims, losses and costs arising from your use of the Service, your clinical decisions, your handling of patient data, or your breach of these Terms or of any law.

12. Suspension and termination

You may stop using the Service at any time and may delete your account through the account-deletion process. We may suspend or end your access if you breach these Terms, if we are required to by law, or to protect patients, you or the Service. When an account is deleted, its data is removed as described in our Privacy Policy and the account-deletion process. Sections that by their nature should survive — including fees owed, limitation of liability and indemnity — continue after termination.

13. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will take reasonable steps to let you know. Your continued use of the Service after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of India, and the courts at Bengaluru, Karnataka have jurisdiction over any dispute, subject to any right you have under consumer law to bring a claim elsewhere.
